Just found this topic doing a search on google. If you guys are in this for the long haul, you may want to contact some departed contributors and oscommcerce developers in order to perhaps gleem some wisdom from those that have "been there, done that" and perhaps have learned from mistakes and could at least offer some insight.
I know of 1 or 2 former dev team members and a handful of capable contributors that have often pondered the idea of forking the oscommerce project. IMHO, they would be great resources -- even to get some ideas and suggestion from if not join your team.
I personally don't have the time or the skillset to join what seems to be a very worthwhile and potentially lucrative opensource venture. I would just like to offer up my best wishes to you guys and know that there are others watching and anticipating something greater than currently exists. It seems like only 3 years ago or so that osc made it to version 2.2 MS2 (isn't it still on 2.2 MS2)?
Anyway, some suggestions (as if you need them) from someone who has touched and read almost every blasted line of code in oscommerce..
I would suggest that you create THE MOST SIMPLE shopping cart that you can as the core product. Release it as fast as you can and start spreading the word that there is truly an opensource shopping cart that is modular in design, supports compliant XML & CSS, and has the ability for developers to create plugin modules.
The ability to insert, delete, deactivate, activate modules for the development community is key for the projects success and critical mass. Forget the entagled mess of code, forget the project timeframes, forget the censorship of the forums, This is THE biggest downside with osCommerce.
Keeping sites up-to-date with all the latest contributions that shop owners need is next to impossible for the average store owner. And adding all of the various modules into the core program is not needed. Sure the core developers will create needed modules.. but keep them add-on modules. This alone has created more forks of oscommerce than any other subject.
I personaly would suggest the following core features:
Customer, Product, Price, Language, Order/Checkout, Shipping, Payment & finally Store classes. By store, I mean the ability to run multiple stores off of one database. If you have ever had an online store and it takes orders and you start selling.. it isn't long until you have a second store or at least would have if it were easy. Yes I am the contributor for the Multi-Stores add-on so I am biased. Anyway, I will check back in and try not to be a stranger to assist in motivation!

Wow!!!
hobbzilla, I personally thank you for motivating the whole team. It is so much easier to work on such a big project when you know that the are others who support you.
Thanks and we will take your thoughts into consideration when we will set the objectives of this project.

I agree with Hobbs. K.I.S.S - If the project needs to complete some basic simple shopping cart functionality at the beginning leave the complex stuff for another iteration. Lets just put the beginnings of a great system together -- something that gives a solid foundation to advance in the future. BTW? Where' is astions?

You should say it on the meeting! And I absolutely agree with two of you - build something simple and then complicate it.
